Job Summary

The Senior Legal Counsel will report to the Head of Health Legal and the Legal Corporate/Regulatory Manager, playing a pivotal role in delivering comprehensive legal support across various business functions. This position is essential for ensuring compliance with local laws and regulations and aligning legal strategies with the organization’s strategic objectives.

The role requires strong communication skills and a proactive, solution-oriented approach to legal matters, along with a robust understanding of the business models pursued by the Health line of business.

 

What You Do

Legal Advisory

  • Provide expert legal guidance on local contractual matters affecting Sales, Underwriting, Procurement, and Operations, supporting internal stakeholders in negotiations.
  • Navigate complex corporate legal issues and daily business activities specific to the jurisdiction.
  • Conduct research, engage with stakeholders and external lawyers, and deliver optimal legal solutions to implement strategic decisions while ensuring appropriate legal support.

 

Contract Drafting and Negotiation

  • Lead the drafting, review, and negotiation of contracts, including but not limited to:
    • Distribution, outsourcing, business partner contracts, reinsurance and retrocession agreements related to strategic projects
    • HR, marketing, sponsorship agreements, leases, and license agreements
    • Service, data privacy, and IT-related agreements linked to Health Protection Services
  • Ensure compliance with local legislation and alignment with global business strategies.

 

Corporate Governance Support

  • Support AWP Health & Life corporate governance activities and Company Secretarial matters.

 

Regulatory and Compliance

  • Handle regulatory issues and legal correspondence with relevant regulators.

 

Litigation Management

  • Oversee the management of corporate litigation matters.

 

Audit Support

  • Work collaboratively with internal teams to ensure timely and comprehensive responses to audit findings, focusing on legal implications and regulatory compliance.

 

Legal Tools and Databases

  • Develop and maintain legal tools and databases, ensuring alignment with current legal practices and standards within the business unit or sub-region.

 

Group Insurance Management Program

  • Support implementation of the Group Insurance Management Program, ensuring all legal aspects are properly addressed and compliant with local requirements.

 

Antitrust Program Implementation

  • Collaborate with the Antitrust Program Coordinator to ensure effective local implementation of the Anti-Trust Program and compliance with applicable laws.

 

Support to Legal Leadership

  • Provide comprehensive support to the Head of Health Legal on strategic legal matters, including risk assessment and regulatory compliance initiatives.

 

What You Bring

  • A relevant law degree and a valid EU legal qualification
  • Minimum of 7 years’ experience as a qualified lawyer, either in private practice or in-house, ideally within the insurance sector
  • Strong expertise in insurance contract law, corporate law, supervisory law, and litigation processes
  • Structured and analytical mindset with the ability to navigate complex legal challenges
  • Resilience and ability to perform under pressure
  • Strong collaboration skills, with the ability to work effectively across departments
  • Excellent communication skills, delivering clear and professional legal advice both in writing and orally
  • Strong understanding of the interaction between legal frameworks and business objectives
  • Fluency in business English and the local language; additional languages are a plus
