The Role :

 

The apprentice supports the Group Legal Department in its Corporate & Governance activities and in its General Contract, Commercial, International Trade Law and Insurance Law matters, contributing to day‑to‑day legal operations, documentation management and coordination with global stakeholders.

 

 

Missions : 

 

On Corporate Governance and Company Law issues, assist the Legal Department, which is responsible for:

 

  • Prepare meetings of the Board of Directors, Supervisory Board and Committees (agenda, script for the chairperson, supporting materials, minutes, etc...);
  • Prepare/Review/Update/Store delegation of powers and payment authorities;
  • Update and organise corporate registries;
  • Support subsidiaries all around the world with their governance-related requests
  • Assist with any ongoing M&A projects, corporate legal issues;
  • Document legal processes / document management: ensure the storage/archives is properly structured, organised and up to date, that documents are properly stored, easily accessible and cleaned up, review accesses;
  • Maintain the corporate legal flowchart, company profiles / group company flowcharts up-to-date;
  • Maintain group and regional legal community organisational chart up-to-date;
  • Coordinate legal formalities and corporate documentation for subsidiaries and branches;
  • Organise required signatures by company directors/executives;
  • Assist with documents requests by regulatory bodies;
  • Conduct legal researches in relation to corporate, governance and regulatory legal issues;
  • Watchlist: ensure corporate governance developments are being monitored and shared.

 

 

On General Contract, Commercial and International Trade Law and Insurance Law issues, assist the Legal Department, which is responsible for:

 

  • Legal support to group functions (HR, Procurement, Finance, Audit, etc...) on general/business matters;
  • Legal research on general contract & insurance law;
  • Legal support to group and regional functions on insurance-related matters (policy wording review, insurance setups review...);
  • Update templates of contracts (NDA, NDU, MOU, LOI, Services Agreements, internal documents…);
  • Coordination with external counsel;
  • Follow-up and reporting of litigations;
  • Conduct legal researches in relation to legal issues (contractual reviews, contract law issues, commercial law, insurance law).

 

 

Profile :

 

  • Master's degree in business law, corporate law, general private law, or international trade law from a recognized French University
  • English mandatory and French language preferable in all forms of communication as well as understanding of complex information
  • Detail-oriented, creative,
