Role Description
The purpose of this role is to support the Chief Legal Office and Company Secretary (Company Secretary) with respect to all companies within the Allianz (UK) Group; and to act as Secretary to Board Committees and Executive Committees as required. As part of a small dynamic team, assist the Company Secretary in ensuring that the Allianz UK Companies operate within the law, correctly implement new legislation and regulation, comply with all relevant regulatory controls, governance best practice, Codes of Practice and Group Minimum Standards.
This role is based in our Gracechurch Street office. This is a Hybrid working role with expectation of you being in office 2 days per week
Salary Information
Range of £80k to £100k
Pay is based on relevant experience, skills for the role, and location. Salary is only one part of our total reward package.
About You
- Monitor changes in relevant legislation and the regulatory environment and, in consultation with the Head of Governance and Deputy Company Secretary, propose solutions to the Company Secretary and take appropriate action, liaising as required with internal and external stakeholders such as the in-house legal team, compliance, risk, regulators, advisers, and auditors.
- Draft Board and Committee papers and resolutions on relevant legal, regulatory and governance matters; ensure proper maintenance of statutory records and compliance with relevant legal and regulatory filing requirements.
- Support Board and committee meetings by taking minutes, preparing rolling agendas, documenting actions and monitoring these through to closure, liaising with meeting chairs, attendees and administering meeting packs.
- Support the annual report process including drafting relevant sections of these reports namely the section 172 report, the corporate governance report and the directors’ report for all Allianz UK entities.
- Support the Board and committee terms of references annual review and board and committee evaluation process.
- Support non-executive director induction, deep dives and board training.
- The role will report to the Head of Governance and work under the guidance of the Deputy Company Secretary on a day-to-day basis.
- Implement and advise on corporate activities including disposals, mergers and acquisitions, and the elimination of companies which are no longer required; implements and documents intra-Group financial transactions, including dividend payments and loans.
- Provide advice, guidance and processes in relation to: UK Corporate Governance and Internal Allianz UK Governance matters, Insider Dealing and Market Abuse, and Miscellaneous Legal and or Regulatory matters e.g. Directors’ Conflicts of Interest.
- Provide advice on and support governance projects being managed within the team.
- Attend and contribute to team offsites and training sessions.
Essential Skills
Technical skills
- Knowledge of all statutory, regulatory and administrative requirements (including the Companies Act 2006, Solvency II, the Senior Insurance Managers Regime, the Modern Slavery Act 2015, relevant EU Directives/Regulations, Persons with Significant Control regulations/guidance, Financial Services and Markets Act 2000 etc).
- Solid technical skills, including familiarity with the detail and implications of the Companies Act 2006.
- Sound understanding of company secretarial systems and their administration with experience using Diligent or a similar package is preferable.
- Knowledge of corporate governance requirements under the UK Corporate Governance Code and best practice, including terms of reference for relevant boards and committees.
- Implement and advise on corporate activities including disposals, mergers and acquisitions, and the elimination of companies which are no longer required.
- Implement and document intra-Group financial transactions, including dividend payments and loans.
- Ensure compliance with the departmental Standard Operating Procedures ensuring that they remain current.
- Highly computer literate.
Experience
- Experience of operating at a senior level and engagement with C-Suite including non-executive directors.
- Experience of working with registrars, law firms, auditors.
- Ideally experience working in a regulated financial services firm (specifically an insurance company).
- Able to work independently and as part of a team; confident and proactive.
- Comfortable communicating at all levels of the business.
Qualifications
- Educated to degree level or a proven track record in a Company Secretary role.
- Fellow or Associate of Chartered Governance Institute UK & Ireland (CGI) with significant appropriate experience.

- Experience using Generative AI tools such as onsite Webchat / Chat Bot systems and journey is desirable but not essential
