The qualified Company Secretary will deliver comprehensive corporate governance, regulatory compliance, and board advisory services to the boards of our investment trusts, initially supporting all three trusts, ultimately taking lead responsibility for two trusts.

 

This role is key to meet the growing governance, regulatory and board-servicing demands across our listed investment trust range. It will strengthen the company secretarial team’s operational resilience and support the continued delivery of high-quality governance services to boards, directors, and shareholders.

 

The role is based in our London office.

 

What you do

 

Board Support & Advisory

  • Manage the end-to-end board cycle for listed investment plcs, including committee meetings (Audit, Risk, Nomination, Management Engagement)
  • Draft high-quality, technically accurate board minutes, resolutions, and action trackers under tight deadlines
  • Act as a trusted adviser to the Board Chairs and Non-Executive Directors (NEDs) on governance best practices
  • Coordinate board evaluations, director inductions, and tailored training sessions

 

Regulatory Compliance & Market Disclosure

  • Oversee compliance with the FCA Listing Rules, Disclosure Guidance and Transparency Rules (DTR), and Prospectus Regulation Rules
  • Manage regulatory announcements via a Regulatory Information Service (RIS), including Net Asset Value (NAV) updates and total voting rights
  • Maintain insider lists and ensure compliance with the Market Abuse Regulation (MAR)
  • Coordinate statutory filings with Companies House and the National Storage Mechanism

 

Financial Reporting & Shareholder Relations

  • Project manage the production and publication of the Annual and Interim Reports, drafting governance and statutory sections
  • Organize and execute the Annual General Meeting (AGM), managing shareholder proxy voting and regulatory outcomes
  • Liaise with key fund service providers, including Investment Managers, Brokers, Auditors, and Registrars.

 

What you bring

 

  • Certification: Fully qualified Chartered Secretary or Chartered Governance Professional (ACG/FCG)
  • Track Record: at least 10 years of corporate secretarial experience, with a proven track record explicitly managing UK-listed investment trusts
  • Technical Mastery: Deep knowledge of closed-ended fund structures, AIC Code guidelines and UK listing regimes
  • Communication: Exceptional written English for drafting concise minutes and complex regulatory narratives
  • Stakeholder Management: High emotional intelligence to confidently challenge and influence high-profile NEDs and external fund managers
  • Precision: Meticulous attention to detail regarding statutory records, stock exchange deadlines, and legal compliance
  • Governance Institute qualification
  • Relevant legal, governance or financial services background
  • AI and Machine Learning.
