Job Purpose/Role

The Allianz Global Investors (AllianzGI) Private Markets platform invests client funds in private debt, private equity and other private markets strategies across primary, secondary and bespoke transactions globally. Our clients include domestic and foreign institutional and professional investors.

To support our growing Private Markets platform, we are seeking an experienced (Senior) Transaction Tax Manager or Transaction Tax Lawyer to join our highly specialized Private Markets Tax Team. In this role, you will play a central part in complex cross‑border transactions, with a particular focus on direct lending, financing structures, refinancings and restructurings, while also contributing across the broader Private Markets investment universe.

You will work closely with our global investment teams located, i.a., in Germany, France, the UK and the US, as well as with colleagues from Legal, Operations and other transaction related Private Markets functions. The role combines hands‑on transaction tax advisory work with exposure to fund structures and ongoing asset management topics throughout the investment lifecycle.

A core element of this role is to actively shape and advance the use of technology, AI and automation in transaction tax processes, combining immediate gains in efficiency, consistency and quality with a clear mandate to develop forward‑looking, innovative and non‑traditional ways of working that redefine how transaction tax execution is delivered in our global in‑house Private Markets environment.

 

Tasks

  • Serve as a subject matter expert on transaction tax matters for Private Markets investments, with a particular focus on direct lending / private credit, including tax due diligence, structuring and transaction documentation in close exchange with Investment, Legal and other stakeholders and across a broad range of different institutional and professional investor groups
  • Provide tax advice on financings, refinancings, amendments / waivers and restructurings, including debt distress / workout scenarios and special situations from a tax perspective
  • Analyze the tax impact on transaction / restructuring economics and financial models, including cashflow implications and investor‑level considerations
  • Support the preparation of investment, refinancing or restructuring proposals for approval by the relevant investment committees and align closely with key stakeholders
  • Coordinate and manage external tax advisors across multiple jurisdictions
  • Cover tax‑relevant asset management topics around our direct lending / debt portfolio, including withholding tax processes, tax risk management and tax audits
  • Monitor local and international tax law changes relevant for Private Markets investments, financing structures and restructurings
  • Actively drive, design and further develop the use of AI‑enabled tools, technology and automation in transaction tax work, not only to improve efficiency and quality (e.g. analysis, documentation review, knowledge management, workflow optimisation), but also to develop new, forward‑looking and non‑traditional ways of executing transaction tax support across the entire deal lifecycle

 

Requirements / knowledge / experience

  • Qualified tax advisor and / or lawyer, with above‑average academic credentials
  • At least 6 years of relevant professional experience (with considerably more experience expected for senior level candidates) in transaction tax gained in an international law firm, advisory firm or comparable inhouse role, ideally covering direct lending / debt financing transactions, and restructurings, debt distress or special situations;
    alternatively: strong finance tax and / or M&A tax experience
  • Solid understanding of cross‑border transaction structures, fund vehicles and financing arrangements commonly used in Private Markets and comfortably able to handle a broad coverage role, combining transaction execution with ongoing asset management topics
  • Excellent analytical skills and ability to distil complex tax issues into clear, pragmatic, and decision‑relevant advice
  • Strong stakeholder management skills and experience working closely with investment, legal and other control functions
  • Proven experience in leveraging AI, automation and technology in tax work, with the capability and mindset to actively drive, scale and embed AI‑enhanced and non‑traditional ways of working within a transaction‑driven tax team; this capability is a key differentiating factor for the role and will be explicitly assessed during the selection process
  • High level of ownership, initiative and ability to work autonomously while ensuring close alignment with the wider team
  • Very good command of English; German is an advantage
