AZRA is a specialty niche reinsurer, domiciled in California and licensed as an admitted insurer in 36 states (including District of Columbia), and is a qualified, accredited, or approved reinsurer in fifteen states. AZRA is a property casualty reinsurer which writes both prospective and legacy reinsurance. AZRA has specific expertise in run-off management of U.S. legacy insurance liabilities. It services Allianz Group affiliates and third parties including third party claims administration of asbestos, environmental, workers compensation, general liability, and construction defect liabilities.

 

AZRA has approximately 150 employees located nationwide with the majority working on a remote basis.

 

 

The Senior Counsel reports to the General Counsel  which supports multiple U.S. legal entities within Allianz Group including holding companies, special purpose investment vehicles and a reinsurance intermediary. This position plays a key role in providing legal support for  reinsurance and transactional matters affecting AZRA and certain of its affiliates. This includes preparation and review of contracts, resolutions, internal policies and procedures and regulatory filings for approvals of transactions under the Insurance Holding Company Act and the California Insurance Code.   Senior Counsel are expected to provide timely assessment of legal issues and give customer focused and solution oriented legal advice to the Company’s business units and management. 

 What you do:

  • Reviews and prepares legal documents on matters and transactions related to AZRA reinsurance and third party administrator business and related internal governance approvals.   
  • Provides transactional, commercial, corporate & re/insurance regulatory legal support and advice to business units and executive management on legal issues impacting the Company's operations and business.
  • Supports international affiliates on U.S. transactions and advice and handles international reinsurance transactions and agreements.
  • Drafts and negotiates financial agreements, reinsurance treaties, service agreements and applications for regulatory approvals and supports reinsurance underwriting team.
  • Works closely with relevant internal stakeholders, including contracts manager/sourcing, information security/information technology and business/vendor relationship owners across various departments, in connection with contract negotiations, interpretation and related strategy.
  • Researches legal matters affecting AZRA, Allianz of America, Inc. (AZOA) and Allianz Reinsurance Management Services, Inc.
  • Monitors, reviews and provides analyses of new federal and state legislation laws and regulations that affect AZRA, AZOA and the reinsurance industry.
  • Advises the business on all types of questions related to material terms contained within transaction agreements, corporate rules and policies and corporate organizational documents.
  • Provides legal advice and expertise in an efficient and effective way that enables the business to achieve strategic and commercial goals.
  • Utilization of artificial intelligence tools and resources (e.g. generative AI).

 

What you bring:

  • Juris Doctor degree (JD) from an ABA accredited law school
  • California State Bar license in good standing
  • 6-10 years of legal experience at a major law firm, specializing in the following areas: financial transactions, reinsurance, corporate governance, insurance regulation
  • Excellent academic credentials and reference
  • Solid business or transactional experience with excellent drafting skills
  • Strong analytical, oral, and written communication skills; Strong negotiation skills
  • Solid work ethic and high level of personal integrity and accountability; self-starter with ability to work independently and comfortably in a virtual/ remote set up
  • Seeking candidates with a high degree of intellectual curiosity and a keen interest in learning new areas of law.
  • Make sound decisions, use independent judgment, think commercially, establish priorities and work effectively on multiple initiatives concurrently
  • Able to define legal issues and evaluate legal risks, think creatively and strategically, and find innovative approaches to legal issues in support of business initiatives and objectives required
  • Sound management and interpersonal skills with a demonstrated ability to work effectively within a team and to build strong relationships with colleagues from all business and geographical areas of the Company
  • Ability to analyze, research, and communicate legal issues regarding statutes and regulations affecting the insurance and financial services industry
  • Ability to understand and draft complex agreements and transactions and communicate to senior business leaders
  • Proficiency with Microsoft Office (Excel, PowerPoint, Word), online legal research tools, and enthusiasm for embracing new technologies 
  • Ability to develop new areas of subject matter expertise, advise on and provide support with respect to a variety of general corporate matters and initiatives
  • You must be legally authorized to work in the U.S. and will not require immigration sponsorship for visa status now or in the future (e.g. H1-B, L-1, TN, etc). If you are currently on CPT/OPT, you are ineligible due to the need for future immigration sponsorship.

 

Base Salary Range $150,000 - $220,000 

Actual base salary may vary based upon factors such as relevant experience, qualifications, internal equity of peers, and geographic location. In addition to base salary, this position is eligible for an annual incentive program
