What you do:
Reporting directly to the Chief Legal Officer of Allianz Life Insurance Company of North America (“Allianz Life”) the VP Deputy General Counsel & AIM LLC & AIM US CCO position will have the dual responsibilities of leading the Compliance and Legal functions of AIM LLC and AIM US (collectively “AIM”) and Allianz Life’s investment portfolios. This includes AIM’s asset management services, mutual funds and ETFs. This position is accountable for building and maintaining strong and productive relationships with key stakeholders and will have a dotted line reporting relationship to Allianz Life’s Chief Investment Officer. This position will serve as the Chief Compliance Officer for AIM US and AIM LLC, which also covers compliance activities related to Allianz Life’s investment portfolios, and as Deputy General Counsel for Allianz Life.
AIM US / AIM LLC CCO Accountability:
- Responsible for developing and executing an overall strategic vision for the Legal and Compliance functional department of AIM and Allianz Life’s investment portfolios which effectively manages and mitigates risk, establishes proper controls, supports business initiatives and protects the companies from legal, compliance and regulatory risk. This includes developing and implementing: an ongoing training program that covers applicable legal and compliance related topics, an effective testing and reporting program which helps ensure adequacy and effectiveness of AIM’s and Allianz Life’s policies and procedures and ensures transparency and awareness of legal, regulatory and compliance related topics and initiatives
Team Leadership:
- Responsible for leading a team of Compliance and Legal professionals supporting AIM’s asset management services, mutual funds and ETFs, and Allianz Life’s investments. Coach and develop team members, partner with employees to create development plans and conduct regular career coaching conversations. Solicit employee feedback and build / execute employee engagement action plans. Leverage workforce planning models to assess staffing needs and deliver results. Ensure a robust succession pipeline and drive progressive readiness of identified succession potentials.
Enterprise Leadership:
- Build and maintain strong relationships with internal/external customers and stakeholders, network with external organizations, other companies and other Allianz entities. Regularly monitor the legal, compliance and regulatory environments for any changes impacting AIM and Allianz Life investments. Read and analyze any new rules and help ensure Allianz Life, AIM and/or its subadvisors and third-party money managers are adequately positioned to comply with any changes
- Manage and participate in AIM and Allianz Life related projects and initiatives (local and global), including leading and managing the development of compliance programs for new investment-related products and services, an evolving investment portfolio, and investment rules and management agreements related to new reinsurance programs
AIM Legal / AZL Deputy General Counsel:
- Manage and assist with the provision of legal advice and guidance on the development of registered investment company products, including mutual funds and ETFs and updating of all registration statements, forms and reports filed with the Securities and Exchange Commission (“SEC”)
- Oversee the provision of legal advice and guidance on insurance company investment related laws and regulations, and evolving investment portfolio asset classes
- Oversee fund and adviser board and corporate governance and preparation of Board meeting materials, including formal agendas, notices, board memoranda relating to legal, compliance and regulatory matters, and other board communications
- Coordinate and provide legal and compliance support for SEC examinations of AIM’s asset management services, mutual funds and ETFs
- Oversee legal and compliance support for state insurance department examinations of Allianz Life’s investment portfolio and related activities
General:
- Utilization of artificial intelligence tools and resources (e.g. generative AI)
What you bring:
- 11+ years’ experience required
- Demonstrated experience providing strategic guidance and leadership in legal and compliance support for SEC registered institutional investment managers, mutual funds and ETFs in a law firm and / or in-house corporate law department of an insurance company, or other financial services company
- Minimum of 5 years managing legal and compliance professionals with demonstrated success setting direction, goals and objectives aligned to company priorities and strategy.
- Juris Doctor from ABA accredited law school required; currently licensed to practice law in the State of Minnesota or obtain a Minnesota license within six months of hiring.
- Must have shown success in building, implementing and maintaining compliance programs, policies and procedures and effectively managing organizational change
- Experience working with both the Investment Advisers Act of 1940 and the Investment Company Act of 1940 and regulations thereunder
- Candidates must be legally authorized to work in the U.S. without requiring immigration sponsorship now or in the future. This includes holders of H-1B, H4, L-1, L-2, TN, OPT, CPT, and other nonimmigrant visas
Base Salary Range $310,000-360,000
Actual base salary may vary based upon factors such as relevant experience, qualifications, internal equity of peers, and geographic location. In addition to base salary, this position is eligible for an annual incentive program.
